OberonGG · Version 1.0 — Effective from 2026
This agreement is entered into between:
OberonGG — a digital platform of tools and analytics for Tibia Online players, operated by João Lucas dos Santos Estrela, tax ID (CPF) available upon formal request, hereinafter referred to as the "Platform".
Individual or legal entity who accepts the terms of this agreement as a "Partner" or "Associate", as defined in Clause 2.
Partner: content creator, streamer or digital personality who promotes the Platform to their audience, earning a commission for converted referrals.
Associate: collaborator with a broader role on the Platform, which may include content production, community support, consulting or other individually agreed activities.
Referral Link: a custom URL generated by the Platform to track visits and conversions originating from the Contracted Party.
Commission: a percentage of the amount paid by users referred by the Contracted Party, as individually agreed and recorded in the internal system.
This agreement establishes the terms of collaboration between the Platform and the Contracted Party for the promotion of OberonGG to the Tibia Online player community, with the resulting compensation for converted referrals, in accordance with the rules set forth herein.
The Partner or Associate agrees to:
6.1 The commission percentage will be individually defined between the Platform and the Contracted Party prior to signing this agreement, recorded in the Platform's internal system and confirmed by express acceptance of both parties.
6.2 The commission applies to the net amount paid by the referred user (after deducting payment gateway fees, refunds and cancellations).
6.3 Payment is made via PIX, upon the Contracted Party's withdrawal request in the internal dashboard, subject to Platform approval within up to 5 (five) business days.
6.4 As an alternative, the parties may agree on a fixed monthly amount for automatic payment of the accrued balance, provided it is recorded in an addendum to this agreement.
6.5 The Platform reserves the right to suspend commission payments in the event of suspected fraud, misuse of the referral link, or violation of the obligations set forth in Clause 4, notifying the Contracted Party immediately and allowing a period for contestation.
Trial Period — 30 days
This agreement takes effect on the acceptance date and has an initial duration of 30 (thirty) calendar days, as a trial period. During this period, both parties are free to evaluate the collaboration without long-term commitment.
7.1 At the end of the 30 days, the parties will hold an alignment meeting to gather mutual feedback and define the terms of an indefinite-term renewal, with improved conditions structured based on the trial period experience.
7.2 If neither party expresses an intent to terminate at least 5 (five) days before the end of the 30 days, the agreement is automatically extended for an indefinite term under the same conditions, until the alignment meeting takes place.
7.3 During the indefinite-term phase, either party may terminate with 15 (fifteen) calendar days' prior notice.
8.1 Voluntary Termination: Either party may terminate this agreement by written communication (e-mail or message through the official platform) with at least 15 (fifteen) calendar days' notice. During this period, both parties continue to fulfill their obligations as normal.
8.2 Termination for Cause: The Platform may terminate immediately, without prior notice, in the event of:
8.3 In any case of termination, commissions already generated and approved will be paid normally in the next cycle. Commissions pending approval will be reviewed and paid or reversed depending on the nature of the termination.
The spirit of this clause: This agreement is an honest exchange between the Platform and the Contracted Party. There is no intent to lock anyone in — the notice period exists only to give both parties adequate time to reorganize. Amicable departures are always welcome.
The Contracted Party agrees not to disclose the Platform's internal information, including other partners' commission structures, user data, product strategy and financial information they may access as a result of this partnership. This obligation remains in effect for 12 (twelve) months after the agreement ends.
This agreement does not create an employment, corporate or any other kind of relationship between the Platform and the Contracted Party. The Contracted Party acts as an independent collaborator, responsible for their own tax and social security obligations arising from amounts received.
The Contracted Party does not acquire any rights over the Platform's brand, logo, source code, design or any other intellectual asset. Use of the OberonGG brand for promotional purposes is permitted exclusively within the context of this agreement, in accordance with the visual guidelines provided by the Platform.
In the event of disagreement, the parties agree to seek an amicable resolution first, preferably through a meeting or direct communication. If the dispute persists, the courts of São Paulo, SP, Brazil are elected to settle any disputes, with express waiver of any other, however privileged.
13.1 This agreement supersedes all prior verbal or written agreements between the parties on the same subject.
13.2 Any change to the terms established herein must be formalized in writing and expressly accepted by both parties.
13.3 Tolerance by either party regarding non-compliance with obligations does not imply a waiver of the right to demand compliance in the future.
13.4 This instrument is governed by Brazilian law, in particular the Brazilian Civil Code (Law No. 10.406/2002) and the General Data Protection Law (Law No. 13.709/2018).
By accepting this agreement digitally or through any other express means, the parties declare that they have read, understood and agreed to all the clauses above.
